We hereby inform you that, on December 2nd 2020, by deed of Notary Public Dr. Alberto Squintani of Casalpusterlengo, the companies Pilon S.r.l. tax code and registration number 10330750158 and Pieran S.r.l. tax code and registration number 10330720151, (hereinafter for brevity the "Demerged Companies") have formalized the respective partial demerger in favour of the company MTA S.p.A. with headquarters in Codogno, tax code and registration number 00828540153 (hereinafter for brevity the "Beneficiary").
The accounting, civil, fiscal and legal effects of the spin-off take effect from January 1st, 2021 (hereinafter for brevity the “Effective Date”).
As a result of the demerger, the Beneficiary was assigned of the business ownership part held by the Demerged Companies in the following companies:
In an amount equal to 50% each:
- MTA Brasil Industria e Comercio de Componentes Automotivos Ltda;
- Vallicella Brasil Investimentos Imobiliarios Ltda;
- MTA Slovakia s.r.o.;
- MTA USA Corp.;
- MTA Automotive Parts (Shanghai) co. Ltd;
- MTA Automotive Solutions Sarl.
In an amount equal to 49% each:
- MTA Automotive Solutions Mexico, S.A. De C.V.;
- MTA Automotive Solutions Private Ltd.
Therefore, all existing relationships, at the Effective Date, and any future activity towards the companies indicated above, will refer to the Beneficiary which, in relation to the activities attributed to it, operates in absolute continuity with the Demerged companies.
Furthermore, the Demerger also involved the transfer of personal, asset and income data (hereinafter the "Personal Data") contained in the documents and computer records of all the interested parties, as customers and suppliers subject to the Demerger (hereinafter the "Interested").
As a result of this Demerger pursuant to EU Regulation 679/2016 ("GDPR") and Legislative Decree no. 196/2003 as amended by Italian Legislative Decree 101/2018 ("Privacy Code"), the Beneficiary takes over the ownership of the personal data already processed by the Demerged companies.
The Demerged companies are also required, in accordance with the provisions and requirements of the Provision of the Authority for the Protection of Personal Data of April 8th 2009 (Italian Official Gazette No. 106 of May 9th 2009), to update the same information with specific reference to the Demerger.
